Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the "Terms") govern your access to and use of the Splicewire service (the "Service") provided by Agentic Ventures, LLC ("we", "us", or "our"). By accessing or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization.

1. Private beta

The Service is provided as a private, invitation-only beta. It may be incomplete, may change or be discontinued at any time, and is not covered by any service-level commitment. We may add, modify, suspend, or remove features and may terminate the beta or your access to it at any time.

2. License grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the beta. We reserve all rights not expressly granted.

3. Your accounts and connected systems

You are responsible for the credentials and connected systems you authorize through the Service, for the actions taken through your account (including by AI agents you authorize), and for ensuring you have the right to connect those systems and to authorize the operations performed. You must keep your access credentials secure.

4. Acceptable use

You agree not to:

• use the Service in violation of any law or third-party right;
• attempt to gain unauthorized access to the Service or its systems;
• interfere with or disrupt the integrity or performance of the Service; or
• reverse engineer or attempt to extract the source code of the Service except to the extent permitted by law.

5. Third-party services

The Service connects to third-party systems such as QuickBooks Online, Unleashed Inventory, and Airtable. Your use of those systems is governed by your agreements with their providers, and we are not responsible for those third-party services. You are responsible for complying with the terms of any system you connect.

6. Intellectual property

The Service, including its software and content, is owned by Agentic Ventures, LLC and its licensors and is protected by intellectual-property laws. These Terms do not transfer any ownership to you. Your data, and the data of your connected systems, remain yours.

7. Confidentiality of the beta

The Service and any non-public information we make available about it are confidential. You agree not to disclose such information except as we authorize.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC VENTURES, LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. BECAUSE THE SERVICE IS PROVIDED AS A FREE BETA, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You will indemnify and hold harmless Agentic Ventures, LLC from claims arising out of your use of the Service, your data, or your connected systems, or your breach of these Terms, except to the extent caused by our own misconduct.

11. Term and termination

These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access at any time, particularly given the beta nature of the Service. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
